1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client," "you") and Senseweightcore Consulting Co., Ltd. ("Senseweightcore," "we," "us," or "our"), having its registered practice office at Linyu Chen, No.69, Sec 2, Tailian Rd, Sanchong District, New Taipei City, 241.

By accessing our website at senseweightcore.click, submitting a consultation brief, or executing a Statement of Work (SOW) for programming advisory services, you agree to be bound by these Terms.

2. Professional Advisory Services & Scope

Senseweightcore provides professional programming consulting, ERP architecture diagnostics, database performance optimization, and custom internal operational tool specifications. Specific engagement deliverables, schedules, milestone reviews, and fees are defined in individual written Statements of Work executed between the parties.

3. Intellectual Property Rights

Client Materials: The Client retains all exclusive ownership, rights, and title to its pre-existing databases, proprietary schemas, internal business logic, and operational data provided during an engagement.

Deliverables: Upon full settlement of all invoiced fees according to the applicable SOW, the Client receives a perpetual, non-exclusive, worldwide, royalty-free license to use, modify, and deploy all custom architecture documentation, SQL optimization scripts, and integration code patterns created specifically for the Client.

Pre-existing Know-How: Senseweightcore retains ownership of its general programming methodologies, foundational utility libraries, diagnostic algorithms, and generic architectural frameworks developed prior to or independently of the engagement.

4. Client Responsibilities & Staging Environments

The Client agrees to provide timely access to necessary technical documentation, sanitized schema definitions, and authorized technical personnel. The Client acknowledges that performance profiling and schema migrations must be tested against isolated staging environments before deployment to live production databases.

5. Warranties & Limitation of Liability

Senseweightcore warrants that all consulting services shall be performed in a diligent, professional manner conforming to recognized software engineering and database management standards.

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, consequential, special, or punitive damages (including loss of business profits or data interruption). In all circumstances, Senseweightcore's aggregate liability arising out of or related to an engagement shall not exceed the total fees paid by the Client to Senseweightcore under the specific Statement of Work giving rise to liability.

6. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Taiwan (Republic of China). The parties irrevocably agree that the Taiwan New Taipei District Court shall have exclusive jurisdiction to settle any dispute or claim arising out of this agreement.
